End User License Agreement

1. License Grant

Subject to your compliance with this Agreement, BayTrack grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Software solely for your internal business operations.

No rights are granted except as expressly stated in this Agreement.

2. Restrictions

You may not, directly or indirectly:

• Copy, modify, translate, or create derivative works of the Software
• Reverse engineer, decompile, disassemble, or attempt to extract source code
• Rent, lease, sell, sublicense, or otherwise transfer the Software
• Use the Software to build a competing product or service
• Interfere with or disrupt the integrity or performance of the Software
• Circumvent usage limits, security features, or access controls
• Use the Software in violation of any applicable law or regulation

3. Ownership and Intellectual Property

The Software and all related intellectual property rights are and shall remain the exclusive property of BayTrack and its licensors.

This Agreement does not grant you any ownership interest in the Software.

4. User Data and Responsibilities

You retain ownership of any data, information, or content you submit to the Software ("User Data").

You are solely responsible for:

• The accuracy and legality of User Data
• Maintaining appropriate backups
• Ensuring compliance with applicable laws (including labor, safety, and record-keeping requirements)

BayTrack does not verify, endorse, or assume responsibility for User Data.

5. Third-Party Services (Including Payments)

The Software may integrate with third-party services, including payment processors such as QuickBooks or Square.

BayTrack:

• Does not control third-party services
• Is not responsible for their availability, security, or accuracy
• Is not liable for transactions processed by third parties

Your use of third-party services is governed by their respective terms.

6. Fees and Payment

Certain features may require payment. All fees:

• Are stated exclusive of taxes unless otherwise specified
• Are non-refundable except as required by law or expressly stated

Failure to pay may result in suspension or termination of access.

7. Suspension and Termination

BayTrack may suspend or terminate your access immediately if:

• You violate this Agreement
• Your use poses a security, legal, or operational risk
• Required payments are not made

Upon termination:

• Your license ends immediately
• You must cease all use of the Software
• Certain provisions will survive (including Sections 3, 8-13)

8. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE."

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BAYTRACK DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

BayTrack does not warrant that the Software will be uninterrupted, error-free, or meet your requirements.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

IN NO EVENT SHALL BAYTRACK BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS INTERRUPTION.

BAYTRACK'S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO BAYTRACK IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify and hold harmless BayTrack from any claims, damages, liabilities, and expenses arising from:

• Your use of the Software
• Your violation of this Agreement
• Your User Data

11. Compliance with Laws

You agree to comply with all applicable local, state, federal, and international laws, including data protection and export control regulations.

12. Governing Law and Venue

This Agreement shall be governed by the laws of the State of Georgia, without regard to conflict-of-laws principles.

Any legal action shall be brought exclusively in the courts located within that jurisdiction.

13. Changes to This Agreement

BayTrack may update this Agreement from time to time. Continued use of the Software after changes become effective constitutes acceptance of the revised Agreement.

14. Entire Agreement

This Agreement constitutes the entire agreement between you and BayTrack regarding the Software and supersedes all prior agreements or understandings.
